Terms of service

These terms of service (“Terms”) are a legally binding agreement between you and ActionNeuro LLC, an Idaho limited liability company (“TradeProven,” “we,” “us,” or “our”), located at 784 S. Clearwater Loop STE 4380, Post Falls, ID 83854.

By accessing or using the TradeProven website at tradeproven.com (the “Site”), you agree to be bound by these Terms and our privacy policy. If you do not agree to these Terms, do not use the Site.

Description of service

TradeProven is a lead generation service that connects homeowners with home improvement contractors. When you submit a quote request, we share your information with contractors and third-party lead partners who may contact you with quotes and offers.

We are not a contractor. We do not perform construction, installation, repair, or any home improvement work. We do not employ, supervise, or control the contractors who receive your information.

Eligibility

To use our Site and submit a quote request, you must:

• Be at least 18 years old
• Be a legal resident of the United States
• Have the authority to enter into these Terms
• Provide accurate, current, and complete information

Our role and your responsibilities

What we do

We match your project request with contractors or lead partners who may be able to help. That is the extent of our service.

What we do not do

• We are not a party to any agreement between you and any contractor.
• We do not guarantee any contractor’s work, pricing, quality, timeline, licensing, insurance, or conduct.
• We do not vet or endorse contractors. We do not independently verify licenses, insurance, bonding, or any other credentials. The presence of a contractor in our network is not a recommendation.
• We do not supervise or control any work performed by contractors.

Your responsibility

You are solely responsible for evaluating, vetting, and selecting any contractor you engage through our service. Before hiring any contractor, we strongly recommend that you:

• Verify their license through your state’s licensing board
• Confirm they carry general liability insurance and workers’ compensation coverage
• Check reviews and references from past clients
• Get everything in writing before work begins
• Never pay the full project cost upfront

Consent to be contacted

By submitting a quote request, you provide your prior express written consent to be contacted by ActionNeuro LLC, its affiliates, and up to four home improvement service companies or their agents at the telephone number and email address you provided.

You expressly consent to receive telephone calls and text messages, including those made using an automatic telephone dialing system (autodialer), prerecorded voice messages, and artificial voice messages.

This consent applies even if your telephone number is on the National Do Not Call Registry, any state Do Not Call list, or any internal Do Not Call list maintained by TradeProven or our partners.

Your consent is not a condition of purchasing any property, goods, or services. Standard message and data rates may apply. Message frequency varies. You may revoke consent at any time by emailing contact@tradeproven.com, calling +1-208-279-2090, or replying STOP to any text message.

No guarantee of results

We do not guarantee that:

• You will receive any quotes from contractors
• Any quotes you receive will meet your budget or expectations
• Contractors will be available in your area or for your project type
• Any contractor will accept your project
• Any contractor’s work will be satisfactory

Contractor availability varies by location, service type, season, and capacity. We make no representations about the number, quality, or timeliness of responses you will receive.

How we make money

Transparency about our business model: contractors and lead partners pay us a fee when they receive your information. This fee is part of our operating costs. You never pay anything to use our service. The fee we charge contractors does not increase the price they quote you for work.

We may also earn revenue from advertising, affiliate partnerships, and other commercial relationships. When applicable, we disclose these relationships.

Intellectual property

All content on this Site, including text, graphics, images, logos, page layout, software, and code, is owned by ActionNeuro LLC or used under license. Our content is protected by United States copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, display, perform, or create derivative works from our content without our prior written permission. You may share links to our pages and print individual pages for personal, non-commercial use.

“TradeProven” and our logo are trademarks of ActionNeuro LLC. You may not use our trademarks without our prior written permission.

Prohibited uses

You agree not to:

• Submit false, misleading, or fraudulent information
• Use the Site for any purpose other than obtaining home improvement contractor quotes for your own property
• Scrape, crawl, or use automated tools to extract content or data from the Site
• Interfere with the operation of the Site or its underlying infrastructure
• Attempt to gain unauthorized access to any part of the Site
• Use the Site to transmit spam, malware, or other harmful content
• Impersonate another person or entity
• Use the Site in violation of any applicable law or regulation
• Resell, redistribute, or commercially exploit our service or content

We reserve the right to refuse service, block access, or take other action against anyone who violates these Terms.

Third-party links and services

Our Site contains links to third-party websites and references to third-party services. These links are provided for your convenience. We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party site or service. Your use of third-party sites is at your own risk and subject to their terms and conditions.

Disclaimer of warranties

THE SITE AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.

We do not warrant that:

• The Site will be uninterrupted, error-free, or secure
• Any defects will be corrected
• The Site or its servers are free of viruses or harmful components
• Any information on the Site is accurate, complete, or current
• Any contractor you connect with through our service will perform satisfactory work

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRADEPROVEN LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• Your use of or inability to use the Site
• Any contractor services obtained through or recommended by the Site
• Any conduct, acts, or omissions of any contractor
• Any content or information provided on the Site
• Unauthorized access to or alteration of your data
• Any other matter related to the Site or our services

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any and all claims related to the Site or our services shall not exceed fifty dollars ($50.00) or the total amount you paid to TradeProven in the twelve months preceding the claim, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless ActionNeuro LLC, its members, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Site or our services
• Your interactions with any contractor
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any information you submit through the Site

Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution

Before initiating any formal dispute resolution, you agree to contact us at contact@tradeproven.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration

If we cannot resolve a dispute informally, you and TradeProven agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site (including the formation, interpretation, or breach of these Terms) shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

The arbitration shall be conducted in Kootenai County, Idaho, or at another mutually agreed location. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

YOU AND TRADEPROVEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

Exceptions

Either party may bring an individual action in small claims court for disputes within the court’s jurisdiction. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Opt-out

You may opt out of this arbitration agreement by sending written notice to contact@tradeproven.com within 30 days of first using the Site. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither you nor TradeProven waives the right to invoke the dispute resolution provisions of these Terms.

Governing law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Kootenai County, Idaho.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Entire agreement

These Terms, together with our privacy policy, constitute the entire agreement between you and TradeProven regarding your use of the Site. These Terms supersede any prior agreements or understandings, whether written or oral.

Assignment

We may assign or transfer these Terms and our rights and obligations without your consent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by TradeProven.

Changes to these terms

We may update these Terms at any time by posting revised Terms on this page with an updated effective date. Material changes will be highlighted on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, stop using the Site.
